Terms of Service

Plain-English summary

These terms cover using this website. They are not the terms of the grant itself. Those live on the Program Terms page.

Everything written here is general information. Reading a page or sending the form does not create a contract, and it does not award you anything.

Use the site for its purpose, do not attack it, and do not copy the design and pass it off as yours. We provide the site as it is, our liability is limited, and Virginia law applies.

The legally operative wording is below. It is formal where it has to be and plain everywhere else.

1. Acceptance of these terms

By using nonprofit.omen.services, you agree to these terms. If you do not agree with them, do not use the site.

These terms apply to everyone who visits, including people just reading, people filling in the grant application, and people writing to us through the contact form. They cover the website. They do not replace the Program Terms, which govern the grant program itself, or the Privacy Policy, which governs your information. Where the Program Terms and this page disagree about the grant, the Program Terms govern.

2. Who we are

Omen Services is a service offered by Omen IT Solutions, a trade name of Walter White Enterprises, LLC, a Virginia limited liability company headquartered in Culpeper, Virginia. In these terms, "we", "us" and "our" mean that company. "You" means the person or organization using the site.

3. What you may and may not do here

Plain English first. Read it, print it, share it, apply through it. Do not attack it and do not scrape it.

You may use this site to learn about the program, to check whether your organization qualifies, to apply, to contact us, and to print or save any page for your own records or for your board. You do not need our permission to do any of that, and you may quote from these pages when explaining the program to your colleagues.

You may not:

  • Interfere with the site or the servers it runs on, or attempt to gain unauthorized access to any part of it.
  • Submit false or misleading information through a form, or apply on behalf of an organization you are not authorized to represent.
  • Submit anything unlawful, abusive, defamatory, infringing, or containing malware.
  • Use automated tools to scrape, harvest, or bulk-collect content or contact details from the site.
  • Use the site or its contents to build or train a competing service that you present as ours.
  • Use the site in any way that violates any applicable law.

We may restrict or block access if any of the above happens. We do not require an account, so there is nothing to suspend beyond access itself.

4. This site is general information, not a binding offer

Plain English first. The pages describe a program. Describing it is not the same as promising it to you.

The content of this site, including descriptions of the grant program, the timelines, the pricing figures and the lists of what is and is not included, is provided for general information. It is a description of a program, not a legally binding offer, quotation, proposal or contract, and it does not create any obligation on either of us.

No contract is formed by reading this site, by submitting an application, or by us acknowledging that we received one. An award is made only when we tell you in writing that your organization has been selected, on the terms in force at that time.

We try to keep every page accurate and current. We do not warrant that the site is free of errors or omissions, and we may correct, update or remove content at any time without notice. Where a figure or a date on this site conflicts with what we have confirmed to you in writing, the written confirmation governs.

5. Forms on this site

The site has two forms: the grant application and the contact form. What each one collects, and what happens to it, is set out in the Privacy Policy.

When you submit either form you confirm that the information you provided is accurate to the best of your knowledge, and that you are authorized to submit it on behalf of the organization named. Submitting a form does not guarantee a response, an award, or any particular outcome.

Anything you send us through a form or by email remains yours. We use it to review your application or answer your question, as described in the Privacy Policy, and for nothing else.

6. Intellectual property

Plain English first. The words, the design and the code on this site are ours. Your own material stays yours.

The site, its design, its layout, its code, its text, its graphics and the Omen Services and Omen IT Solutions names and marks are owned by Walter White Enterprises, LLC or used with permission, and are protected by copyright, trademark and other laws.

You may view, print and share pages of this site for your own non-commercial purposes, including circulating them to your board or your staff, with attribution intact. You may not reproduce the site's design or code in a competing product or service, remove any notice of ownership, or use our names or marks in a way that suggests we endorse or are affiliated with you.

Organizations named on this site are named with their permission. Their names, logos and marks belong to them, not to us, and nothing here transfers any right in them.

Sites we build under the grant program are a separate matter entirely. Ownership of a finished site, its content and its source files is covered in the Program Terms, and those files belong to the awarded organization.

This site links to other websites, including omen.services, sites belonging to organizations we have built for, donation processors, and public resources.

We do not control those sites and we are not responsible for their content, their accuracy, their availability, their security, or their privacy practices. A link is not an endorsement. Once you follow a link, that site's terms and privacy policy apply and ours do not.

8. Disclaimer of warranties

Plain English first. We provide the site as it is. We do not promise it is always available, always current, or always error-free.

The site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the site or the servers that make it available are free of harmful components. You use the site at your own risk.

Nothing on this site is legal, tax, accounting or fundraising advice. Statements about tax status and eligibility describe how the grant program treats an organization, and they are not advice about your own tax position. Consult your own advisors on those questions.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

9. Limitation of liability

Plain English first. If something goes wrong with this website, what you can recover from us is capped.

To the fullest extent permitted by law, our total liability to you for all claims arising out of or relating to this site or these terms, whether in contract, tort, warranty, statute or any other theory, is limited to the greater of (a) the total amount you paid us in the 12 months before the claim arose, or (b) $500.

To the fullest extent permitted by law, we will not be liable for indirect, incidental, consequential, special, punitive or exemplary damages, including lost revenue, lost donations, lost data, lost goodwill or business interruption, even if we were advised that such damages were possible.

Some jurisdictions do not allow limitations on incidental or consequential damages, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot lawfully be limited.

10. Indemnification

Plain English first. If your use of this site causes a claim against us, you cover it.

You agree to defend, indemnify and hold harmless Walter White Enterprises, LLC and its owners, officers, employees and contractors from any claim, loss, liability, damage, cost or expense, including reasonable attorney fees, arising out of (a) your use of this site, (b) information you submitted through a form on this site, (c) your breach of these terms, or (d) your violation of any law or of any right of a third party.

11. Governing law and where disputes are heard

Plain English first. Virginia law applies. Disputes go to court in Culpeper County.

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these terms or this site will be brought exclusively in the state or federal courts located in Culpeper County, Virginia, or the nearest court of competent jurisdiction, and you consent to personal jurisdiction and venue there.

Before either of us files a lawsuit, we both agree to spend at least 30 days trying to resolve the matter in good faith by email or telephone. Most things a nonprofit and a small web company disagree about can be settled in a phone call.

12. Changes to these terms

We may update these terms as the site and the program change, or as the law changes. When we do, we revise the effective date at the top of this page.

Material changes are posted on this page at least 30 days before they take effect. Continuing to use the site after the effective date means you accept the updated terms. If you do not accept them, stop using the site.

13. Other terms

  • Severability. If any part of these terms is found unenforceable, that part is limited or removed and the rest still applies.
  • No waiver. If we do not enforce a right, that is not a waiver of it.
  • Assignment. You may not assign these terms without our written consent. We may assign them to a successor in a merger, acquisition or sale of assets.
  • Force majeure. Neither of us is liable for a failure to perform caused by events beyond reasonable control, such as natural disasters, power or network outages, acts of government or public health emergencies.
  • No agency. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between us.
  • Entire agreement. These terms, together with the Privacy Policy and, for grant recipients, the Program Terms, are the whole agreement between us about this site.
  • Survival. Sections 6 through 11 survive any end of your use of the site.
